EU Merger Rules Cloud easyJet's Suitors as Castlelake Deadline Nears

Europe's airline consolidation debate has flared again, just as a rare takeover opportunity comes to a head. With US private credit group Castlelake facing a 26 June deadline to declare its intentions toward easyJet, the structural obstacles to any cross-border deal are once again in plain view, and Brussels finds itself squarely in the frame.

The complication is regulatory. Under European ownership and control rules, an American fund cannot acquire majority control of easyJet alone; it would need a European airline partner. Yet the two most obvious candidates have effectively stepped back. IAG chief executive Luis Gallego, speaking to the Financial Times, called a potential easyJet bid possible to examine but "very, very difficult" under the current antitrust regime, citing the heavy route overlaps any combination would create across Western Europe. Air France-KLM, while describing easyJet's slots and fleet as attractive, said it is not actively pursuing a deal and has not been approached.

Gallego used the moment to press a broader argument: that Europe's market remains too fragmented to compete with the consolidated US majors, and that regulators should weigh transfer traffic and hub-to-hub competition rather than narrow point-to-point overlaps. IAG knows the pain well, having abandoned its full Air Europa takeover in 2024 over Commission remedies and walked away from a TAP stake this year.

The backdrop is unforgiving. European carriers face a softer 2026 profit outlook, with IAG's fuel bill alone running near €9 billion. easyJet shares sit roughly a quarter above their pre-Castlelake level, leaving any suitor to close a widening valuation gap.

Absent a compliant consortium by Friday, the episode may end less as a deal than as another case study in why European aviation struggles to scale.
